Terms of Service

1. Acceptance of Terms

Welcome to Mardea Music ("Mardea," "we," "us," or "our"). By accessing or using the Mardea Music platform located at mardeamusic.com (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to create an account and use the Service. If you are under 18, you may only use the Service with the involvement and consent of a parent or legal guardian who agrees to be bound by these Terms.

We reserve the right to update or modify these Terms at any time. When we make material changes, we will notify you by posting the revised Terms on the Service with an updated "Last updated" date. Your continued use of the Service after any such changes constitutes your acceptance of the revised Terms.

2. Description of Service

Mardea Music is a digital platform that provides AI music prompt templates, educational courses, and related tools designed to help creators produce music using third-party AI music generation services such as SUNO, Udio, and similar platforms. The Service includes, but is not limited to:

• A library of professionally crafted AI music prompt templates
• A prompt customization engine for tailoring templates to your needs
• Educational courses on music production, songwriting, and AI music creation
• Course completion certificates
• Sound Kit packages (Brand Sound Kit, Ministry Sound Kit, Podcast Sound Kit, Course Creator Sound Kit)
• Consultancy services
• A referral program

Mardea Music is not affiliated with, endorsed by, or sponsored by SUNO, Udio, or any other third-party AI music generation platform. The quality, accuracy, and output of music generated using our prompts on third-party platforms is dependent on those platforms and is outside our control.

3. Account Registration and Security

To access certain features of the Service, you must create an account. When registering, you agree to provide accurate, current, and complete information and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your account credentials and for all activities that occur under your account.

Each individual may maintain only one account. You may not share your account credentials with any other person or allow any other person to access the Service through your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

We reserve the right to suspend or terminate your account at any time if we reasonably believe that you have violated these Terms, provided false information during registration, or engaged in conduct that we determine to be inappropriate or harmful to the Service or other users.

4. Subscription Plans and Billing

Mardea Music offers both free and paid subscription plans. The free tier provides limited access to the Service, including up to 2 prompt generations per month and access to a curated selection of starter templates and 1 free course. Paid subscription plans ("Entry," "Pro," and "Agency") unlock additional features, unlimited prompt generations, full course access, and other premium capabilities as described on our Pricing page.

All paid subscriptions are billed in advance on a recurring basis (monthly or annually, depending on the plan you select). Subscription fees are charged in U.S. dollars. Payment is processed securely through Stripe, Inc. ("Stripe"), our third-party payment processor. By subscribing, you also agree to Stripe's Terms of Service.

Subscription prices are subject to change. If we change the price of your subscription, we will provide you with at least 30 days' notice before the new price takes effect. If you do not agree to the price change, you may cancel your subscription before the new price applies.

Paid subscriptions automatically renew at the end of each billing cycle unless you cancel before the renewal date. You may cancel your subscription at any time through your Account Settings or the Stripe Customer Portal. Upon cancellation, you will retain access to paid features until the end of your current billing period, after which your account will revert to the free tier.

5. Sound Kit Packages and One-Time Purchases

In addition to subscription plans, Mardea Music offers Sound Kit packages and consultancy services available as one-time purchases. These are custom-crafted deliverables tailored to your specific needs based on information you provide through our questionnaire process.

Once a Sound Kit order is placed and payment is processed, the order is considered final. Due to the custom nature of these deliverables, refunds for Sound Kit packages are handled on a case-by-case basis. If you are dissatisfied with your Sound Kit, please contact us within 14 days of delivery to discuss resolution options.

6. Refund Policy

For subscription plans, we do not offer refunds for partial billing periods. If you cancel your subscription, you will continue to have access to paid features until the end of your current billing period. No prorated refunds will be issued for unused time within a billing cycle.

If you believe you have been charged in error, please contact us within 30 days of the charge at the contact information provided below. We will review your request and, if appropriate, issue a refund.

7. Access Codes and Promotions

From time to time, Mardea Music may offer promotional access codes, discount codes, or referral credits. These codes are subject to specific terms and conditions that will be communicated at the time of distribution. Access codes are non-transferable, may not be sold or bartered, and may only be redeemed once per account unless otherwise specified.

We reserve the right to revoke or invalidate any access code at any time if we determine that it has been obtained or used fraudulently, in violation of these Terms, or in a manner inconsistent with its intended purpose.

8. Referral Program

Mardea Music offers a referral program that allows existing users to invite others to the Service. Referral credits and rewards are subject to the specific terms of the referral program as described on the Service. Referral credits have no cash value and may not be transferred, sold, or exchanged for currency.

We reserve the right to modify, suspend, or terminate the referral program at any time. Abuse of the referral program, including creating multiple accounts to generate referral credits, will result in forfeiture of all credits and may lead to account termination.

9. Intellectual Property

All content on the Service, including but not limited to prompt templates, course materials, educational content, text, graphics, logos, icons, images, audio clips, and software, is the property of Mardea Music or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws.

Your License to Use Prompts: When you access a prompt template through the Service (whether on the free tier or a paid plan), you are granted a limited, non-exclusive, non-transferable, revocable license to use that prompt for the purpose of generating music for your personal or commercial projects using third-party AI music generation platforms. You may not resell, redistribute, sublicense, or publicly share the raw prompt templates themselves.

Music You Create: Mardea Music does not claim any ownership over the music or audio content you generate using our prompt templates on third-party platforms. Ownership of AI-generated music is subject to the terms of service of the third-party platform you use to generate it (e.g., SUNO's terms, Udio's terms). We encourage you to review those terms carefully.

Course Content and Certificates: Course materials are provided for your personal educational use only. You may not record, reproduce, distribute, or publicly display course content. Certificates of completion are issued for personal recognition of course completion and do not represent accredited academic credentials, professional certifications, or formal qualifications.

10. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service in any way that violates any applicable federal, state, local, or international law or regulation
• Use any automated means, including bots, scrapers, or crawlers, to access, collect, or extract data from the Service
• Attempt to gain unauthorized access to any portion of the Service, other accounts, computer systems, or networks connected to the Service
• Share, resell, or redistribute prompt templates or course content to third parties
• Use the Service to generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable
• Interfere with or disrupt the integrity or performance of the Service
• Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity
• Create multiple accounts to circumvent free tier limitations or abuse promotional offers

Violation of this Acceptable Use policy may result in immediate suspension or termination of your account without notice or refund.

11. Third-Party Services

The Service may contain links to or integrations with third-party websites, services, or platforms, including but not limited to SUNO, Udio, Stripe, and authentication providers. These third-party services are not under our control, and we are not responsible for their content, privacy practices, or terms of service. Your use of third-party services is at your own risk and subject to the terms and conditions of those services.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. MARDEA MUSIC DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. WE DO NOT GUARANTEE ANY SPECIFIC RESULTS FROM THE USE OF OUR PROMPT TEMPLATES ON THIRD-PARTY AI MUSIC GENERATION PLATFORMS. THE QUALITY AND OUTPUT OF AI-GENERATED MUSIC DEPENDS ON THE THIRD-PARTY PLATFORM AND IS OUTSIDE OUR CONTROL.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MARDEA MUSIC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (C) ANY CONTENT OBTAINED FROM THE SERVICE; OR (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT. IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify, defend, and hold harmless Mardea Music and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property or privacy right; or (d) any claim that your use of the Service caused damage to a third party.

15. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease. If your account is terminated, you will lose access to any data, content, or features associated with your account, including saved prompts, favorites, history, course progress, and certificates.

You may terminate your account at any time by contacting us. If you have an active paid subscription, termination of your account will also cancel your subscription, and the cancellation policy described in Section 4 will apply.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in the State of Texas, and you consent to the personal jurisdiction of such courts.

Before initiating any formal legal proceedings, you agree to first attempt to resolve any dispute informally by contacting us. We will attempt to resolve the dispute informally within 30 days. If the dispute is not resolved within that period, either party may proceed with formal legal action as permitted under these Terms.

17. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent of the provision.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Mardea Music regarding the use of the Service and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning the subject matter of these Terms.
